A Digital Asset Foundation is a new legal vehicle, pioneered here in the Isle of Man.

Overview

A Data Asset Foundation (DAF) is a proposed new type (subcategory) of Isle of Man foundation designed to hold and utilise data assets within a trusted statutory and governance framework.

The Isle of Man’s proposed Data Asset Foundation regime is intended to transform data from an under-governed business resource into an asset that can be dedicated, accredited, registered and utilised within a legally supported structure.

The regime builds upon the Isle of Man’s existing foundations legislation by introducing a dedicated framework for data stewardship services, legal certainty as to the status of data as an asset, and enabling data to be held, managed and transacted in a trusted environment.

In practical terms, a Digital Asset Foundation can facilitate:

    • Secure, compliant stewardship of sensitive digital asset holdings
    • Governance and registry of data ownership, provenance, quality, and usage rights
    • Frameworks for licensing, sharing, monetisation, and use as capital or collateral
    • Alignment with global standards and legal frameworks

What is a Data Asset Foundation?

An Isle of Man foundation is a distinct legal entity with separate legal personality. It combines characteristics of both companies and trusts and is often described as a hybrid of the two.

A Data Asset Foundation (DAF) is a sub-category of foundation introduced by the Foundations (Amendment) Bill 2025, creating a statutory framework specifically for data assets.

Under the Bill, “data” is broadly defined as any digital representation of acts, facts or information (including compilations and recordings).

What is a “Data Asset”
under the proposed legislation?

Under the proposed framework, a “data asset” is not simply any dataset.

The Bill defines a “data asset” (in respect of a data asset foundation) as data which has been:

    • Dedicated to a Data Asset Foundation
    • Made the subject of a Data Asset Dedication Instrument
    • Registered as a data asset on the Data Asset Register
    • Described as a fully registered data asset on the register

This is important because the Bill is designed to create legal certainty through a structured registration and assurance regime.
